Irina

When Irina is asked to introduce herself, she uses a simple formula: she is a lawyer by vocation, a partner at Buzko Krasnov by profession, and a lecturer at Novosibirsk State University for the sheer enjoyment of it.

Not only was Irina fortunate to choose the right profession, but also the right sphere of expertise from the very start. She values corporate law for the opportunity to help clients to establish joint ventures, raise investment for scaling, and negotiate partnerships. Her mission is to help clients feel secure, even in the most complex transactions and situations.

After several years in practice, Irina realized that she wanted not only to grow her own expertise, but also to pass it on. That is why, in 2022, she returned to her alma mater as a professor.

In her free time, Irina enjoys being outdoors and drawing. On particularly good days, she manages to combine both hobbies.

Select Experience

  • Advised on the sale one of the largest non-metallic minerals extraction company in Russia, with a deal value of RUB 1.7 billion.
  • Advised on the sale of a company owning railway track sections, with a deal value in excess of RUB 350 million.
  • Advised Russian investment funds (including using limited partnership structures (LP)) on the acquisition of portfolio companies with deal values starting from RUB 200 million.
  • Advised on investment rounds for businesses involving corporate venture funds and private investors, with deal values ranging from RUB 1 million to RUB 70 million.
  • Drafted several dozen shareholders’ agreements and options to structure partnerships across various sectors of the economy.
  • Developed several dozen ESOP and LTI for implementation in Russian limited liability companies and joint-stock companies.
  • Prepared standard documentation for structuring relationships with advisers and advisory boards in Russia.
  • Prepared standard documentation for structuring nominee ownership arrangements under Russian law.
